Our services may include tools, automations, and managed solutions that support client growth and operational efficiency. The exact scope of services will be outlined in individual client agreements.
3. Client Responsibilities
By using our services, you agree to provide accurate and up-to-date information necessary for the provision of our services. You also agree to adhere to any guidelines or requirements outlined by Soarmigo for the successful execution of the agreed-upon services. Additionally, you confirm that:
You have obtained all necessary permissions and consents from your customers for the collection, recording, and storage of any data or communications, where applicable.
You will not use Soarmigo services in any way that violates local, state, or federal laws — including, but not limited to, robocall regulations, telemarketing compliance, and privacy laws.
You acknowledge that Soarmigo is not responsible for ensuring your compliance with industry-specific or regional regulations and that you remain solely responsible for how the services are used in your business.
4. Payment Terms
Payment terms for Soarmigo services will be outlined in the specific service agreement or contract between Soarmigo and the client. Payment schedules, amounts, and methods will be clearly defined, and clients are expected to adhere to these terms to receive services. Unless otherwise stated in writing:
All payments are non-refundable once setup or service work has begun.
Service setup will not begin until the required payment is received.
Missed or late payments may result in suspension or termination of services without prior notice.
Soarmigo reserves the right to withhold or delay service delivery if payment terms are not met.
5. Intellectual Property Rights
All content, materials, workflows, and intellectual property provided by Soarmigo as part of our services — including but not limited to custom scripts, AI prompts, automations, and configurations — remain the exclusive property of Soarmigo unless otherwise specified in writing. Clients are granted a non-transferable, non-exclusive license to use the provided materials solely in connection with the agreed-upon services. These materials may not be copied, resold, repurposed, or shared with third parties without prior written consent from Soarmigo. Unless otherwise agreed, Soarmigo retains the right to reuse or adapt any systems or components created during a client engagement for future projects or service offerings.
6. Confidentiality
Soarmigo agrees to maintain the confidentiality of any non-public client information shared during the course of the engagement. Likewise, clients agree to protect any proprietary systems, trade secrets, internal processes, or non-public business strategies shared by Soarmigo. Both parties agree not to disclose, reproduce, or distribute such confidential information to third parties without written consent, except where required by law. This obligation of confidentiality will remain in effect for a period of two (2) years following the termination of services.
7. Termination of Services
Either party may terminate services with written notice to the other. Upon termination:
The client is responsible for payment of all services rendered up to the termination date.Any outstanding invoices or balances must be paid in full before the termination is finalized.All access to Soarmigo tools, assets, and platforms will be revoked after the termination date. No refunds will be issued for completed work, time reserved, or setup fees unless otherwise stated in writing.
Soarmigo reserves the right to terminate services immediately in the event of a violation of these Terms.
8. Limitation of Liability
Soarmigo is not liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use its services. The client acknowledges that:
AI-based systems may occasionally misunderstand or misinterpret user input. No service provided guarantees lead conversion, business growth, or specific financial outcomes.The client is solely responsible for ensuring that services are used in compliance with local laws and industry-specific regulations.
Clients agree to indemnify and hold Soarmigo harmless from any claims, losses, or damages related to their use of our services.
9. Modification of Terms
Soarmigo reserves the right to modify these Terms of Service at any time. Updates will be made available on our website or delivered via email. Continued use of our services after notification of such changes constitutes acceptance of the revised Terms.
10. Service Availability & Technical Issues
While Soarmigo aims to maintain high uptime and reliability, service interruptions may occasionally occur due to maintenance, updates, or third-party issues beyond our control. We are not liable for business loss or missed opportunities caused by temporary downtime or platform disruptions. Technical support is available to resolve issues as promptly as possible.
